Bylaws Update - 2022
Updates approved at the November Annual Meeting
Provide for Executive Committee Update to reflect that the board operates with an executive committee. Defined as elected officers and immediate past president, the committee is subordinate to and advisory to the Board. The role is to assist in planning and implementation of Board plans, committee appointments, and duties. The committee reports to the Board at its next meeting or by email and its actions are recorded separately or reviewed and included in the minutes of the Board.
Ex-Officio Members In 2016 membership approved enabling city officials as ex-officio non-voting members of the board. The update recognizes both Kenner City Council at Large seats and City Council District 4 as ex-officio nonvoting members of the board.
Standing Committees Update standing committees as External Affairs, Communications, Membership, Social, Membership, Nominating and Advertising.
Delete Two Obsolete Committees. Delete Deed and Architectural committee and Covenant Compliance committee. Neither has functioned in recent memory. Over the decades, the municipal code has expanded to cover many areas formerly covered by covenants. The only covenants not addressed in the municipal code seem to be parking of commercial vehicles overnight, and parking on the street in some CECO areas.
Robert’s Rules of Order. Update that the rules in Robert’s Rules of Order shall govern the organization in all cases to which they are applicable and in which they are not inconsistent with the bylaws and any special rules of order the Organization may adopt.
Special Appointments – Update provision for special appointments including appointment of members in good standing to committees, for activities such as ad sales, newsletter editor, social media coordinator, etc. and calls for annual review of special appointments as part of committee appointment process.
Elections Delete proxy voting, eliminate area directors being voted on only by members from their area, and expand nomination and voting procedure.
Board Responsibilities. Expand duties regarding taxes, bank accounts, fiduciary accounts and licenses.
